Show catalogue entry* A show catalogue will be produced. Exhibitors will be listedwith a short description, contact information and place for company logo. Thecatalogue is given to visitors at no cost and gives the exhibitor exposure fora full year, until the next catalogue is published.
Sharingof stands. Although sharing of stands is allowedthe organizers need the details of companies with which you are sharing inorder to list on website and catalogue entry.
ThisContract is with Petita Pty Ltd,herein referred to as the ‘Organiser’ and is irrevocable and notprovisional. Acceptance by the Organisers of your signed offer creates alegally binding contract read togetherwith the Organisers standard Terms and Conditions and no other representations,warranties, particulars or variations, oral or in writing, shall be binding onthe Organisers.
It isfurther agreed that the conditions, and rules and regulations in the Sponsor / Exhibitor'sManual will form a partof this agreement as if fully incorporated herein, and the Sponsor / Exhibitoragrees to be bound by each and every one of such rules and regulations and anyattachments thereto. Failure to attend, pay timeously or otherwise comply withthe Organiser’s Standard Contract Terms and Conditions or regulations canresult in cancellation and payment of consequential damages.
TheSponsor / Exhibitor agree to pay the total cost as indicated on the Exhibition/SponsorshipContract and within the time schedule set out. On receipt and acceptance ofthis Contract the Organisers will issue an invoice. Receipt of a completedContract with or without a deposit, does not guarantee exhibition space and theOrganiser reserves the right to allocate space in accordance with the bestinterest of the event.
The Sponsor/ Exhibitor agree to the jurisdiction of a South African Court in respect ofany disputes that may arise from this contract or any other action that mightbe instituted.
I. PURPOSE OF THE STANDAND RESTRICTIONS
1.1 Thestand shall only be used for displaying and demonstrating the products and/orservices listed in the Exhibition / Sponsorship Contract. The said contract must contain the details ofall companies and entities represented by the Sponsor / Exhibitor whoseproducts are to be shown or whose services are to be referred to on theexhibition booth or branded at the event.
1.2 The Sponsor/ Exhibitor shall not sub-let, cede, assign or in any way dispose of, or alienate the stand, any portionthereof, or any of its rights granted under this agreement to any person, firmor other legal entity unless agreed to in writing by the Organiser.
1.3 TheOrganiser shall be at liberty at its discretion to withdraw any consent previouslygiven in terms hereof at any time and any consent given to any Sponsor /Exhibitor shall not be deemed to applyto any other Sponsor / Exhibitor.
2. CONTROLLING BODIES
It is theresponsibility of the Sponsor / Exhibitor to satisfy themselves that they arein compliance with all relevant fire, health, hygiene and or safety acts, rulesand or regulations in force under controlling bodies where the event is heldwith regards to the Exhibitor’s stand construction, fittings and furnishing andfor the activities which they intend to conduct at the exhibition. The Sponsors/ Exhibitor indemnify and hold the Organiser harmless in respect of any breachof the Venue or Event rules and regulations.
3. EXHIBITION MANUAL &OTHER EVENT NOTIFICATIONS
ASponsor’s and Exhibitor’s Manual will be issued to the Sponsor / Exhibitorcontaining information required for the planning of the Sponsor’s / Exhibitor’sparticipation in the event. The Sponsor / Exhibitor undertakes to abide by thearrangements, schedules, rules and regulations as set out in the Manual andsubmit all information required on or before the date stipulated by theOrganiser.
TheOrganiser will issue directives from time to time dealing with the Event.Communication of the directives will be by post, fax or electronic transmissionand the Sponsor / Exhibitor undertakes to respond appropriately.
4. STAND STRUCTURE & SERVICES TO THE STAND
4.1 Shellscheme stands and fittings are on hire only and may not be tampered with.
4,2 The Sponsor/ Exhibitor shall submit for approval a detailed diagram of the proposed customstands and temporary structures including construction details at least 21 daysprior to the first day of the set-up. The stand structure is subject to theregulations and compliance of the venue and local authorities including allfire, safety and health regulations.
4.3 Nopart of any stand may exceed 2.5m in height at any point without prior consentfrom the Organiser
4.4 Sponsor/ Exhibitor appointed Contractors: The Sponsor / Exhibitor may appoint aContractor for interior work to a shell-scheme stand or to build their ownstand. Contractors are subject to allrules and regulations governing the event and require the Organiser’s approvalto work on site.
4.5 Exhibitors may not deface any building structureor use it for any attachments and will be responsible for the cost of makinggood any damages caused.

5. USE OF STAND, ACTIVITIES & CONDUCT AT EXHIBITION

6. EXHIBITION SCHEDULE AND ACCESS TO BRING AND REMOVE GOODS
6.1 The Sponsor/ Exhibitor will adhere to the Exhibition schedule and arrangements and providefor timely set-up and breakdown of its booth during the prescribed hours.
6.2 Afterconclusion of the Exhibition, the Sponsor / Exhibitor undertakes to remove allexhibits / fittings and stock along with all refuse within the time scheduleset.

7 RIGHT OF ENTRY
7.1 TheOrganiser and its representativesshall at all times have the right of entry to any stand.
7.2 TheOrganiser reserves the right to refuse admission to any person(s) to the Event.
7.3 TheOrganiser will have sole control over admission policies at all times as wellas the charge of entrance fees and the amount thereof.
7.4 The Sponsor/Exhibitor shall be entitled to two Sponsor/Exhibitoridentification badges for its personnel. Additional Sponsor/Exhibitor badgesmay be purchased. Badges must be worn at all times by personnel in the ExhibitHall. These badges are not transferable and remain the property of theOrganiser.
8. INSURANCE AND INDEMNITY
Each Sponsor/ Exhibitor and person or entity it contracts with to perform services for itshall carry insurance covering liability for third party, injury, personalinjury, property damage and workers compensation and shall protect, indemnifyand hold harmless the Organisers and Venue Owners, their officers, agents andemployees against all claims, losses, suits, damages, costs, expenses of everykind, resulting from or arising in connection with the Exhibitor’s use oroccupancy of the exhibit space (including construction and dismantling ofstands or exhibits) its agents or employees irrespective of whether or not suchclaim arises during or after the holding of the exhibition.
9. ALLOCATION OF STANDS
TheOrganiser reserves the right to allocate exhibition space in accordance withthe best interest of the event. The Organiser reserves the right to review andalter the stand layout plan and to reallocate any stand space that has beenallocated in terms of this or any other stand lease agreement without liabilityto the Sponsor / Exhibitor or anyoneelse and irrespective of how any claim or demand may be derived.
10. CANCELLATION FEE
In the event of Petitaagreeing to any request for release from the stand, the Exhibitor will beliable for all or part of the total costs stated in the Contract to exhibit, onthe following scale:
• Cancellation 271 & more daysbefore exhibition 15% of cost
• Cancellation 270 – 181 daysbefore exhibition: 40% of cost
• Cancellation 180 – 121 daysbefore exhibition: 60% of cost
• Cancellation 120 – 60 daysbefore exhibition: 80% of cost
11.1 The Sponsor / Exhibitor shall not bringor suffer to be brought onto the premises any goods, article or materials whichmay render the insurance of the premises against risk or loss or damage byfire, either void or voidable or which may increase the rate of premium inrespect of such insurance beyond ordinary risk.
11.2 The Sponsor / Exhibitor shall not do,cause or suffer to be done, anything which in the opinion of the Organiser,constitutes a nuisance or causes an infringement of any regulation or law, orwhich may lead to possible forfeiture of or endorsement of any license held bythe Organiser or the Venue.
11.3 The Sponsor / Exhibitor shall not storeor bring on to the premises inflammable substances or use any such inflammablesubstance or naked flame on the premises at any time.
11.4 The Sponsor / Exhibitor indemnifies theOrganiser and holds the Organiser harmless against all claims of whatsoevernature and however arising, including any act or omission on the part of theSponsor / Exhibitor and/or its employees and/or agents and/or visitors andirrespective of whether or not such act or omission is due on the part of theSponsor / Exhibitor and/or its employees and/or its agents and/or visitors ator in connection with the Exhibition and whether or not such claim arises atthe premises before or after the holding of the Exhibition
11.5 The Sponsor / Exhibitor shall be liablefor all loss or damage caused by it and/or employees and/or agents and/orvisitors to the venue, the stand structure and/or goods or property of theOrganiser or other person, company or firm or legal entity
12.LIMITATION OF THE ORGANISERS / PUBLISHERS LIABILITY
12.1 The Organiser shall under nocircumstances be liable for any loss or damage which is suffered by theExhibitor, its employees, agents, servants, customers, clients or visitors,including but not limited to damage as a result of fire, injury, accident,floods, crowds, riot, the actions or omissions of other exhibitors, defect inthe structure of the stand or in the venue, or from insufficient lighting orventilation or resulting from leakage from or breaking of any water pipe orcommunication, fitting or appliance.
12.2 The Sponsor / Exhibitor is liable forand holds the Organiser harmless against all risk in and to property broughtonto the Venue by the Exhibitor, its employees, agents, servants, customers,clients or visitors including property not owned by the Sponsor / Exhibitor.
12.3 The Sponsor / Exhibitor agrees andundertakes to take out such policies of insurance as may be necessary to coverany loss or other damage to it and or for which it may be held liable.
12.4 The Organiser shall not be responsible forany loss or damage that it may suffer in the event of the Exhibition having tobe closed during the whole period of theExhibition or any parts thereof and in such event the Organiser shall not beliable to refund the Sponsor/Exhibitor any monies or portion thereof.
The limitation of the Organiser’s liabilityas aforesaid shall apply irrespective of whether such damage is sustainedbefore, during or after the Exhibition and irrespective of whether the act oromission complained of occurs inside or outside of the Venue.
13.POSTPONEMENT / CANCELLATION OF THE EXHIBITION
In theevent of the Exhibition being cancelled, postponed or abandoned due to causesbeyond the control of the Organisers, whether ejusdem generis or not, the Organisers may, entirely at theirdiscretion, repay any fees paid by the Exhibitor, or part thereof, but shall beunder no obligation to repay the whole partof such fee, and shall be under no liability to the Sponsor/Exhibitor inrespect of any damages, actions, claims, losses or expenses whatsoever. Wherethe Organiser agrees to repay fees, the Organiser’s limit of liability to theSponsor / Exhibitor will be the space cost paid, irrespective of other costsincurred by the Exhibitor.
The Organiser shall be represented by anExhibition Manager, or anybody else authorised by it in writing, and all powersvested in the Organiser under the terms of the agreement shall be exercised byany or all of these persons.
15.REGULATIONS AND BREACH
(i) Regulations: The Sponsor / Exhibitoragrees that the Organiser shall have the unfettered right, notwithstandinganything herein contained to make Regulations providing for the orderly andproper conduct of the Exhibition and such Regulations shall be of the same forceand effect as if inserted herein.
(ii) Breach by Exhibitor: In the event of theOrganiser, in its sole and absolute discretion, deciding that a breach of thisagreement or any part of the regulations made hereunder has occurred whichmight or would jeopardize the proper functioning of the Exhibition or that anyExhibition activity is unlawful, obscene or against public morals, it shallhave the right without prejudice to any other remedy, to stop the Sponsor /Exhibitor from continuing such activity or from exhibiting its goods, or any portionthereof, and shall have the right to barricade the stand and thus prevent theSponsor / Exhibitor from having access thereto, without liability for paymentor damages.
(iii) Notwithstanding anything to thecontrary herein contained, should the Sponsor / Exhibitor commit a breach ofany term or condition of this agreement or of any regulation made in termshereof, the Organiser shall have the right to cancel this agreementimmediately. In such event the Sponsor / Exhibitor shall remain liable forpayment of all amounts which are owed to the Organiser at the date of suchcancellation and also for all damages suffered by the Organiser due to, orarising out of the aforesaid breach and/or consequent cancellation of thisagreement.
(iv) If Exhibition space is not occupied bythe time set for completion of installation of displays, such space may bere-possessed by the Organiser for such purposes as it may see fit.
(v) Failure to comply with Event rules, Eventschedules or requests for required information regarding the Exhibitors standstructures, Exhibitor’s personnel, or Exhibitor’s activities, will be groundsfor cancellation of the Exhibitor’s participation and in such event theOrganisers may resell such exhibition space without further obligation to the Sponsor/ Exhibitor and without refund of any monies that have already been paid.
For the purpose of delivery of all noticesand/or processes arising from or in connection with this contract, the Sponsor/ Exhibitor chooses as its domicilium citandi et executandi, the address statedin the Sponsor / Exhibitor Contract or at the Organisers option, the registeredoffice of the Sponsor / Exhibitor or delivered to the Exhibitor’s stand duringthe Exhibition. Notification in the form of email or fax shall also be deemedas a delivery.
